These Terms of Service (“Terms”) constitute a legally binding agreement between Ventairy Labs Inc. (“Ventairy,” “we,” “us,” or “our”), a Colorado corporation, and the entity or individual (“User,” “you,” or “Customer”) accessing or using our AI-powered search engine and platform (the “Service”). By accessing the Service, you agree to be bound by these Terms.
1. Scope of Service and License
Ventairy provides a proprietary AI-driven platform that identifies business intent signals from public data to facilitate B2B commercial outreach.
1.1 Limited License
Subject to these Terms, Ventairy grants you a non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business development and sales purposes.
1.2 Prohibited Use
You shall not: (a) reverse engineer, decompile, or attempt to extract the source code of the Ventairy AI engine; (b) use the Service to build a competitive product or database; (c) use automated systems (bots, spiders, or scrapers) to harvest data from the Service; or (d) use the Service for personal, family, or household purposes.
2. User Accounts and Responsibilities
To access certain features, you must register for an account and provide accurate professional information.
2.1 Account Security
You are responsible for maintaining the confidentiality of your credentials. Any actions taken under your account are deemed your actions. You must notify Ventairy immediately of any unauthorized access.
2.2 Compliance with Laws
You represent and warrant that your use of the professional leads provided by Ventairy will comply with all applicable laws, including but not limited to the CAN-SPAM Act (USA), the Swiss Federal Act against Unfair Competition (UCA), and the GDPR (EU). You are solely responsible for ensuring you have a legal basis for contacting any leads generated through the Service.
3. Proprietary Rights and Intellectual Property
Ventairy retains all rights, title, and interest in and to the Service, including the AI algorithms, search methodology, and user interface.
3.1 Ownership of AI Outputs
While you own the specific lists and reports exported from the Service for your sales use, the underlying data structure and "intent matching" logic remain the exclusive intellectual property of Ventairy Labs Inc.
3.2 Feedback
If you provide suggestions or feedback regarding the Service, Ventairy may use such feedback for any purpose without compensation or obligation to you.
4. Fees, Billing, and Subscription
Access to the Service is provided on a subscription basis as outlined in your specific plan.
4.1 Payment Terms
All fees are non-refundable and payable in U.S. Dollars (USD) unless otherwise agreed. Subscriptions automatically renew at the end of each term unless canceled at least thirty (30) days prior to renewal.
4.2 Taxes
Fees are exclusive of taxes. You are responsible for all applicable sales, use, or value-added taxes (VAT) required by Colorado, U.S. federal, or Swiss authorities.
5. Data Privacy and Security
Our processing of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
5.1 Data Processing Agreement (DPA)
To the extent that Ventairy processes personal data on your behalf that is subject to the GDPR or Swiss FADP, the parties agree to enter into a separate Data Processing Agreement if required by law.
5.2 Confidentiality
Each party agrees to protect the other’s non-public confidential information with the same degree of care it uses to protect its own similar information, but in no case less than reasonable care.
6. Disclaimers and Limitation of Liability
The Service is provided to optimize sales efficiency, but success is not guaranteed.
6.1 "As Is" Warranty
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Ventairy makes no warranties that the "intent signals" identified by the AI are 100% accurate or that the leads provided will result in successful commercial transactions.
6.2 Limitation of Liability
To the maximum extent permitted by law, Ventairy Labs Inc. shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to Ventairy in the twelve (12) months preceding the claim.
7. Indemnification
You agree to indemnify and hold harmless Ventairy Labs Inc. and its officers from any third-party claims, damages, or legal fees arising from: (a) your violation of these Terms; (b) your unauthorized use of data provided by the Service; or (c) your violation of anti-spam or privacy laws during your outreach efforts.
8. Term and Termination
These Terms remain in effect until your subscription expires or is terminated.
8.1 Termination for Cause
Ventairy reserves the right to suspend or terminate your access immediately if we believe you have violated these Terms, engaged in fraudulent activity, or if your use of the Service risks the reputation or technical stability of our platform.
8.2 Effect of Termination
Upon termination, your right to access the platform ceases. You must delete any proprietary data clusters or "intent signals" extracted from the platform that have not yet been converted into active sales opportunities.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.
9.1 Dispute Resolution
Any disputes arising from these Terms shall be resolved in the state or federal courts located in Denver, Colorado. For Swiss-based customers, we may agree to mediation or arbitration in a mutually recognized jurisdiction if required by local mandatory law.
10. General Provisions
These Terms constitute the entire agreement between the parties.
10.1 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
